Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and SideClaw AI (“SideClaw,” “we,” “our,” or “us”) governing your access to and use of the platform and services available at www.sideclaw.ai (the “Service”).

By accessing or using the Service, you confirm that you are at least 18 years old, have the legal authority to enter into this agreement on behalf of yourself or your organization, and agree to be bound by these Terms and our Privacy Policy.

If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to do so. References to “you” include both the individual user and the organization where applicable.

Service Description

SideClaw is an influencer marketing management platform that provides tools for campaign planning, influencer discovery, outreach automation, negotiation tracking, and performance reporting. The Service includes AI-assisted features for brief generation, email drafting, and influencer matching (collectively, “AI Features”).

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

Accounts & Access

Account Registration

Access to the Service requires creating an account through an approved identity provider (currently Feishu/Lark OAuth). You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

Organizations

Each account belongs to an organization. An organization administrator may invite additional users and assign them roles (admin, operator, or viewer). The organization administrator is responsible for managing user access and ensuring compliance with these Terms.

Security Responsibility

You must notify us immediately at [email protected] if you suspect unauthorized access to your account. We are not liable for losses arising from unauthorized access caused by your failure to secure your credentials.

Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

• Send spam, unsolicited bulk emails, or harassing messages through the Service.
• Use the Service to infringe upon the intellectual property rights of others.
• Reverse engineer, decompile, or attempt to extract source code from the Service.
• Use automated scripts, bots, or crawlers to access the Service other than through our official API.
• Upload, store, or distribute malicious code, viruses, or harmful content.
• Attempt to gain unauthorized access to any part of the Service or other users' data.
• Use the Service to violate applicable anti-spam laws, including CAN-SPAM, CASL, or GDPR requirements.
• Misrepresent your identity or affiliation when using outreach features.

We reserve the right to suspend or terminate accounts that violate these standards without prior notice.

Third-Party Integrations

The Service integrates with third-party platforms including Google (Gmail API) and Feishu (Lark). Your use of these integrations is subject to the respective third-party terms of service and privacy policies.

By connecting a Gmail account, you authorize SideClaw to send emails and retrieve reply threads through the Gmail API on your behalf. You are solely responsible for ensuring your outreach complies with applicable email regulations and the policies of the recipients' email providers.

We are not responsible for the availability, accuracy, or content of third-party services. Disruption of third-party services may affect Service functionality.

Content & Intellectual Property

Your Content

You retain ownership of all content you create, upload, or input into the Service (“Your Content”), including campaign briefs, influencer data, email templates, and reports. By using the Service, you grant SideClaw a limited, non-exclusive license to host, process, and display Your Content solely to provide the Service to you.

SideClaw IP

The Service, including its code, design, algorithms, and documentation, is the exclusive property of SideClaw and is protected by copyright, trademark, and other applicable laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free license to use such feedback for any purpose without compensation to you.

AI-Generated Content

The Service includes AI Features that generate content including campaign briefs, email drafts, and influencer recommendations. You acknowledge and agree that:

• AI-generated content may not always be accurate, complete, or appropriate for your specific use case.
• You are solely responsible for reviewing and approving AI-generated content before use.
• AI-generated recommendations (e.g., influencer suggestions) are based on available data and should be independently verified.
• We do not guarantee that AI-generated outreach emails will achieve any particular response rate or outcome.

We do not use your campaign content to train AI models without your explicit consent.

Payment & Billing

Certain features of the Service may require a paid subscription. Subscription terms, pricing, and payment schedules will be presented at the time of purchase. All fees are stated in US Dollars unless otherwise indicated.

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel at any time through your account settings. Refunds are provided at our discretion and in accordance with applicable consumer protection laws.

We reserve the right to change pricing with at least 30 days' notice to existing subscribers. Continued use after the notice period constitutes acceptance of the new pricing.

Termination

You may terminate your account at any time by contacting us at [email protected]. Upon termination, your access to the Service will cease and your data will be handled according to our Privacy Policy.

We may terminate or suspend your account immediately, without notice, if you violate these Terms or for any reason we deem necessary to protect the Service, other users, or third parties.

Sections of these Terms that by their nature should survive termination (including IP ownership, disclaimers, liability limitations, and governing law) will continue to apply after termination.

Disclaimers

To the fullest extent permitted by applicable law, SideClaw disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that:

• The Service will be uninterrupted, error-free, or available at all times.
• Results obtained from AI Features will be accurate, reliable, or meet your expectations.
• Outreach campaigns will achieve any particular delivery, open, or response rate.
• Third-party integrations will remain available or functional.

Limitation of Liability

To the maximum extent permitted by applicable law, SideClaw and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities, arising from:

• Your use of or inability to use the Service.
• Any AI-generated content that proves inaccurate or unsuitable.
• Unauthorized access to or alteration of your data.
• Third-party services connected to the Service.
• Any other matter related to the Service.

In no event shall our total liability to you exceed the amount paid by you to SideClaw in the twelve months preceding the claim, or USD $100 if no payment has been made.

Indemnification

You agree to defend, indemnify, and hold harmless SideClaw and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the Service in violation of these Terms.
• Outreach emails you send through the Service that violate applicable law.
• Your Content, including any claims that it infringes third-party rights.
• Your violation of any third-party rights.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property infringement or unauthorized access.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.

Changes to Terms

We may update these Terms at any time. For material changes, we will provide at least 14 days' advance notice via email to registered users or via a prominent notice within the Service.

Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and may terminate your account.
